BASTYN Website Terms of Use

1. Who we are

The Site is operated by Rooted Logic LDA, a company incorporated in the Portuguese Republic as a sociedade por quotas under registration NIPC 519106822, with its registered office at Casal São Rafael, Setúbal, Portugal, trading as “BASTYN” (“BASTYN”, “we”, “us” or “our”). BASTYN operates internationally through branch establishments registered in the United Kingdom and in the United States. The branches are operational establishments of Rooted Logic LDA and have no separate legal personality.

2. Acceptance and changes

By accessing the Site you accept these Terms. We may update these Terms from time to time. The version published on the Site at the time of access governs your use. Continued use of the Site after publication of an updated version constitutes acceptance.

3. The Site is informational only

The Site provides information about BASTYN and its services. The Site does not itself provide regulated services, conformity assessment, certification, legal advice, regulatory advice, or assurance services. Any commercial service offered by BASTYN is provided exclusively under separate written terms, typically the BASTYN Online Purchase Terms & Conditions (for self-serve and invoiced purchases) or a signed Partnership / Platform Agreement (for partners and platform integrators). Nothing on the Site constitutes an offer capable of acceptance for the supply of any regulated, advisory or assurance service.

4. Permitted use

You may access and view the Site for lawful informational and procurement-evaluation purposes, including evaluating whether to engage BASTYN as a vendor or partner. You may share publicly accessible content from the Site by reference (URL link) provided you do so accurately and without misrepresenting your relationship with BASTYN.

5. Prohibited use

You must not, and must not attempt to or assist any third party to:

• use the Site or any content on it to create, train, fine-tune, evaluate, benchmark or otherwise develop a competing AI testing, AI assurance, AI certification or AI evaluation product or service;
• reverse engineer, decompile, disassemble, scrape (other than by lawful indexing by general-purpose search engines respecting our robots configuration), data mine, harvest, extract or attempt to derive the source code, methodology, scoring logic, dataset composition or test corpora underlying any demonstration, free tool, sample report, sandbox, scan, simulator or other interactive feature published on the Site;
• use the Site or its features for any unlawful purpose, or in breach of any sanctions or export control regime, including the EU sanctions regime, UK sanctions, US OFAC sanctions, or the EU Dual-Use Regulation 2021/821 and equivalent national export controls;
• introduce or attempt to introduce any virus, worm, ransomware, logic bomb, denial-of-service vector, model exploit, prompt injection or other harmful or disruptive code or input into the Site or any system to which it is connected;
• use the Site or any output of any free tool offered on the Site as evidence of compliance, certification, conformity assessment or assurance, or represent to any third party that any such output constitutes a BASTYN attestation; or
• impersonate any person or entity, misrepresent your affiliation with any person or entity, or use the Site to facilitate any of the foregoing.

6. Free tools, demos and sample outputs

Where the Site offers a free scan, demonstration, calculator, simulator or sample report (each a “Free Tool”):

• The Free Tool is provided for informational evaluation only, on an “as is” and “as available” basis, with no warranties of any kind whether express, implied or statutory.
• No output of any Free Tool constitutes a BASTYN attestation, certification, trust token, assurance opinion or evidence of compliance with any law, regulation or standard. You must not represent any such output as BASTYN-issued evidence to any third party.
• We may at any time and without notice suspend, withdraw, rate-limit or modify any Free Tool.
• Any input you submit to a Free Tool is subject to our Privacy Policy and our Acceptable Use Policy. Do not submit personal data, regulated data, third-party intellectual property without rights to do so, or model weights, prompts or training data of commercial value.

7. Intellectual property

All content on the Site — including text, graphics, logos, the BASTYN name and word mark, the TYA mark, button icons, images, audio and video clips, data compilations, software code and the visual design of the Site — is owned by or licensed to Rooted Logic LDA and is protected by United Kingdom, European Union, Portuguese Republic, United States and international intellectual property laws, including copyright, trade mark, database right and trade secret protection.

Patent-pending technologies. Aspects of the BASTYN testing, attestation, drift monitoring and trust-token systems are the subject of pending patent applications under the United Kingdom Patents Act 1977 and reciprocal applications in other jurisdictions. Reference to or description of these technologies on the Site does not grant any licence, express or implied, to practice the inventions disclosed.

No content on the Site may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including “mirroring”) to any other computer, server, website or other medium, or used for the creation of any derivative works, without our prior written permission, save for the limited browsing use permitted in clause 4.

Feedback. If you submit any suggestion, idea, enhancement request, feedback, recommendation or other comment relating to the Site or to any BASTYN product or service, you grant Rooted Logic LDA a perpetual, irrevocable, worldwide, royalty-free, sub-licensable licence to use, copy, modify, create derivative works from, publish, distribute and otherwise exploit such feedback for any purpose, with no attribution requirement and no obligation of compensation.

8. Trade marks

“BASTYN”, the BASTYN logo, “TYA” and the TYA mark are trade marks or pending trade marks of Rooted Logic LDA. You may not use these marks without our prior written consent, save that you may identify Rooted Logic LDA accurately by reference to the BASTYN word mark in factual procurement, comparison or news contexts.

9. Third-party content and links

The Site may contain links to third-party websites, regulators, standards bodies and academic institutions. Such links are provided for convenience only. We do not endorse, control or accept responsibility for the content, security, privacy practices or availability of any third-party site, and we exclude all liability for any loss or damage that may arise from your use of any such third-party content or site to the maximum extent permitted by law.

10. Information accuracy and no advice

The information on the Site is provided in good faith for general information only. It does not constitute legal advice, regulatory advice, conformity assessment, certification, audit, accountancy or investment advice, and must not be relied upon as such. We make no representation or warranty, express or implied, that the information on the Site is accurate, complete, current, fit for any particular purpose or non-infringing. Statements about regulatory frameworks, standards, the EU AI Act, ISO/IEC standards, the NIST AI RMF or any other regime are summaries of our current understanding for general orientation and may not reflect the most recent state of those regimes.

11. Availability

The Site is provided on an “as is” and “as available” basis. We do not warrant that the Site will be uninterrupted, error-free, timely, secure, or free from viruses or other harmful components. We may at any time and without notice withdraw, suspend, modify, restrict access to or discontinue any part of the Site.

12. Limitation of liability

Nothing in these Terms limits or excludes our liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot lawfully be limited or excluded.

Subject to clause 12(a), to the maximum extent permitted by law:

• we exclude all conditions, warranties, representations and other terms which might otherwise apply to the Site or any content on it, whether express or implied, by statute, common law, course of dealing or otherwise;
• we will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising under or in connection with use of, or inability to use, the Site or any content on it, including loss of profits, loss of business, business interruption, loss of business opportunity, loss of anticipated savings, loss of goodwill, loss or corruption of data, or any indirect or consequential loss; and
• our aggregate liability arising under or in connection with use of the Site shall not exceed one hundred pounds sterling (£100).

13. Indemnity

You agree to indemnify and hold harmless Rooted Logic LDA, its branches, officers, employees, contractors and agents from and against any claim, demand, loss, damage, cost or expense (including reasonable legal fees on a full indemnity basis) arising out of or in connection with your breach of clauses 5, 6 or 7 of these Terms.

14. Privacy and cookies

Your use of the Site is also governed by the BASTYN Privacy Policy, which is incorporated into these Terms by reference and explains how we collect, use and protect personal data and how we use cookies and similar technologies.

15. Children

The Site is not intended for children under the age of 16, and we do not knowingly collect personal data from children. If you believe we hold personal data of a child without appropriate authority, please contact us at contact@rootedlogic.ai and we will take steps to delete it.

16. Suspension

We may suspend or terminate your access to the Site at any time without notice if we reasonably believe you are in breach of these Terms or are using the Site in a manner likely to cause harm to BASTYN, to any other user, or to any third party.

17. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by, and construed in accordance with, the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction to settle any such dispute or claim, save that we may bring proceedings against you in any court of competent jurisdiction in respect of any breach by you of clauses 5, 6, 7, 8 or 13.

Where you access the Site as a consumer resident in the European Union, the United Kingdom or another jurisdiction whose mandatory consumer protection law applies notwithstanding the choice of law above, your statutory rights under that mandatory law are not affected by these Terms.

18. Severance, waiver, no partnership

If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall continue in full force. No failure or delay by us in exercising any right under these Terms is a waiver of that right. Nothing in these Terms creates any partnership, joint venture, agency or employment relationship between you and us.

19. Whole agreement

These Terms, together with the documents and policies they incorporate by reference, constitute the entire agreement between you and us in relation to your use of the Site, and supersede any prior representations, statements or agreements relating to that subject matter.
